SERVICE LEVELS FOR STANDARD SUPPORT
GruupMeet shall maintain a minimum service uptime of 99.85% per month, excluding scheduled maintenance and force majeure events. GruupMeet will provide Technical Support to Customer via both telephone and electronic mail on weekdays during the hours of 9:00 am through 6:00 pm Central Standard Time, with the exclusion of Federal Holidays. GruupMeet will provide Technical Support during Customer’s Event via both telephone and electronic mail when GruupMeet has been notified at least 24 hours in advance by Customer (“Support Hours”). Customer may initiate Support related communication via GruupMeet’s Knowledge Base/Helpsite during Support Hours by Contacting GruupMeet via its Knowledge Base/Helpsite “Contact Us” feature or by calling (972) 375-0540 or (214) 458-7693 at any time or by emailing assigned Customer Success Manager or GruupMeet’s CEO via Russell@gruupmeet.com. GruupMeet will use commercially reasonable efforts to respond to support communications in a timely manner.

Event Registration Fees Processing by Customer
For annual customers or customers that meet Company's requirements, if you wish to process credit card payments relating to the GruupMeet Platform, you must first establish your own merchant bank account(s) or payment processor(s) (contact us to discuss questions). GruupMeet's New Booking Service and Subscription for tours and dine-arounds includes setup and integration with a single API Merchant Solution for Multiple Payment Gateway Processing abilities. GruupMeet cannot and does not guarantee that the merchant account or payment processor will be compatible with GruupMeet's Software (please contact us to discuss).
You are responsible for:
Any refunds or credits must be independently arranged between you and your registrants or your clients' registrants. For security purposes, funds collected will not be held by GruupMeet at any point in this process. All funds will pass from registrant to customer without ever being deposited in accounts controlled by GruupMeet.
Customer must ensure that any refund policy is clearly stated both on the event website and within the registration form. Customer shall indemnify and hold harmless GruupMeet, its directors, officers, employees, agents and affiliates from and against all claims, losses, liabilities, damages, and expenses, including reasonable attorneys' fees, (collectively "Claims") to the extent that any such Claim is caused by or arises out of:

WEBSITE SUBSCRIPTION FEE

Website Subscription Fee
The subscription fee for the GruupMeet Website online store or booking add-on software product is optional. Current and/or existing Annual or Enterprise customers may sign-up for this additional product in a subsequent Order Form (the “Order Form”). The subscription fee for the add-on Website product will remain fixed during the Subscription Term and is based on an unlimited number of usage or amount of participants on an annual basis.

For details on renewal pricing (collectively, “Fees”), recurring billing, warranty and disclaimer or product disclosures, see GruupMeet’s Terms of Use. Additionally, customer agrees to comply with GruupMeet’s Booking Terms (“Booking Terms”) regarding refund policy event website and registration form requirements and indemnification of GruupMeet, its directors, officers, employees, agents, and affiliates, when applicable.

On-site Consulting
For annual customers or customers that meet Company’s requirements: A remote kick-off call of up to one (1) hour in length to review the scope, roles and responsibilities, and customer obligations. Assistance with the setup and/or implementation of your GruupMeet subscription by a technical consultant (or equivalent GruupMeet expert(s) as designated by us), including assistance with setup of additional users, the import of an Arrival/Departure manifest, setup of one (1) tour, one (1) dining and one other or free type of booking reservation, and the setup, testing and sending of one (1) on-demand email and text message notification and two (2) automated email and text message notifications by GruupMeet.
Our reasonable preparation (including additional research and any material preparation) for the following:

Domain Name Services
Some of the Enterprise/Annual Plans (“Fees”) offered by GruupMeet include domain services. When you choose to register or renew an existing domain name through the domain services, GruupMeet will only act as the agent between you and the registrar. The domain services are considered Third-party Services, and your use of the domain services are subject to the registrar’s terms and conditions. The current registrar for the domain services is Namecheap, and when you use the domain services you will be subject to the Namecheap terms and conditions located here. We reserve the right to use another registrar at any time.
Additionally, GruupMeet may offer a free 1-year domain with a purchase of an Enterprise/Annual plan(s). The domain is yours to keep if you renew the registration and pay the relevant fees. You must also provide accurate information to GruupMeet for registration of the domain, and you acknowledge, stipulate, and agree that the intellectual property rights of others are not violated when choosing your domain name. The domain name services will automatically renew prior to the end of the then-current term in accordance with GruupMeet’s Terms (the “Terms”).
Furthermore, if GruupMeet is made a party to any legal action related to one of your domain names, you agree to be responsible for all of our costs and legal fees and to indemnify and hold GruupMeet, its directors, officers, employees, agents, and affiliates harmless from any action.

This optional service is provided as a tool to assist with compliance. GruupMeet provides no warranty that its use will result in full legal compliance. The ultimate responsibility for compliance remains with the customer.
You are solely responsible for obtaining and maintaining separate, verifiable, legally compliant consent for all messages.

Sending Messages
You represent, warrant, covenant, and stipulate that when using the Site, Software, or Services to facilitate two-way text messages and/or email notifications (collectively, "Messages"), you will comply with all applicable laws, regulations, and rules governing such Messages, including, without limitation, A2P 10DLC requirements, the Texas Telephone Consumer Protection Act (Texas TCPA), and all applicable industry best practices. You will also comply with the General Data Protection Regulation (GDPR), and all applicable U.S. state privacy and data protection laws, including those in California, Colorado, Florida, Iowa, Indiana, Montana, Tennessee, Texas, Utah, and Virginia.
Your business must register with the Texas Secretary of State and post a $10,000 bond, as required by law for telemarketing solicitations. This is an annual requirement and requires a fee. GruupMeet offers an optional API to assist with this process, but it cannot legally register on your behalf, and you remain responsible for the submission.
You are also responsible for scrubbing all contact lists against the Texas No-Call List and the National Do-Not-Call Registry before sending any marketing Messages. GruupMeet's optional compliance API can assist by providing an automated, real-time list-scrubbing tool to help ensure your messages are not sent to registered numbers.
GruupMeet's role is limited to providing a technology platform that enables Organizations to send and receive Messages with their own contacts. GruupMeet does not originate, initiate, or determine the recipients, timing, or content of any Messages, nor does it engage in mass marketing on behalf of any Organization.
To support compliance with the Texas TCPA and other applicable regulations, GruupMeet offers optional integration with a TCPA API. This API can help streamline compliance efforts by automating tasks like real-time mobile number validation, reassignment checks, and consent verification. While GruupMeet provides these tools to assist you, the ultimate responsibility for the content, timing, and legal compliance of Messages rests solely with you.
You will send Messages only to individuals from whom your Organization has obtained the legally required consent. You will promptly process and honor all requests made by Attendees to stop receiving Messages and notify GruupMeet of such requests through the platform's tools. You will maintain sole responsibility for obtaining, maintaining, and documenting verifiable, auditable records of all legally required consents for any communications sent through the GruupMeet platform, including explicit consent as required by the Texas TCPA.
GruupMeet affirms its commitment to responsible communication practices and provides the following distinctions to ensure clarity for all customers and recipients.
Operational Messages and Quiet Hours
GruupMeet distinguishes between “Operational Messages” and “Marketing Messages” for compliance purposes:
Customers are responsible for ensuring that any Marketing Messages comply with applicable laws, including quiet‑hour restrictions.
If GruupMeet receives fines, incurs additional fees, or is made a party to any legal action related to Messages sent by your Organization, you agree to be responsible for all related costs and legal fees, and to indemnify and hold harmless GruupMeet, its directors, officers, employees, agents, and affiliates, provided that such fines, fees, or actions do not arise from a confirmed, material failure of GruupMeet’s optional TCPA API services or core platform functionality to perform as described in this Agreement.
This exception does not apply to your failure to use the optional services correctly or to obtain proper consent. GruupMeet may revise this Policy at any time, and by using GruupMeet's features, you agree to abide by the most current version of this Policy.
PRODUCT DISCLOSURES

CUSTOMER RESPONSIBILITIES. To realize the full value of GruupMeet’s SaaS Usage and Services, your team’s continuous participation and effort are needed. Resources that may be required from you include a GruupMeet advocate (one person within your organization who will take responsibility for relaying updates, features, tips, and all things GruupMeet to your team) and one GruupMeet advocate to keep the sales team up-to-date with strategies, pricing models, and tips effectively reselling the software and services (or equivalent).
GRUUPMEET DASHBOARDS.
Manifest Upload. Successful imports require following GruupMeet’s easy manifest template. A link to the template and tips can be found in GruupMeet’s Knowledge Base/Helpsite. Some particulars are: (i) There should be a tab labeled “Arrivals” and one for “Departures” IF both tabs are used. If only one tab includes data, delete the other before importing. (ii) The headers need to be identical to those in the template. Headers/columns that are not used can be deleted. The order in which headers or columns are ordered is not important. (iii) If cell phone numbers are used, we strongly encourage using the +19723750540 or appropriate E.164 internationally recognized standard phone number format to ensure the deliverability of event-related text messages across the globe. (iv) You should not include flight times. This information is likely to change and GruupMeet provides this. (v) Email information is suggested because it acts like a “unique identifier.” This data is NOT required. This info will be auto generated by GruupMeet if excluded. Planners do not need email information or phone numbers to utilize GruupMeet. Email addresses are suggested and auto generated if excluded because this is an additional communications delivery method and measure to keep the data organized. You have the option to send notifications as you wish. (vi) If both “Arrivals” and “Departures” tabs are utilized, there must be a difference in the number of participants or rows by at least one. The number of rows in both tabs cannot be the same or it will treat this as additional participants.
Event Notifications. Please see our article, "4 Tips for Event Text Communications," for tips and more information related to the optimization of text message notifications. Our Knowledge Base/Helpsite also includes some sample notifications. We recommend using the “on-demand” notifications feature for testing prior to saving any automated or scheduled notifications or sending messages. When using this feature, please do not add a new participant or a contact with the exact same details (e.g., first name, last name, company name, cell phone, email) as set up for your admin GruupMeet account. Adding a participant with the same contact info as your admin account could create an error that would require debugging from GruupMeet. Simply entering a generic or unique company name and/or email is suggested if you seek to send test notifications to yourself. The automatic notifications can be used for a variety of purposes. For example, the “pre-meeting notification” can be used to send a scheduled message during or after your event. This could apply to the “during meeting notification” too. But an “arrival notification” is sent when a flight lands so you wouldn’t want to use this message if there are no flights. When setting or sending notifications, please wait or contact us for assistance, prior to selecting “Send” multiple times. See our Knowledge Base/Helpsite to learn more.
Legal Compliance for Operational Messages. Event‑related text notifications that meet the definition of “Operational Messages” are considered service‑related communications and are not subject to Texas SB 140 quiet‑hour restrictions. Customers must ensure that any promotional or marketing content is sent only with the required consent and within applicable time‑of‑day limits (See Messaging Acceptable Use Policy for full definitions and compliance requirements for Operational and Marketing Messages).
BETA SERVICES. If we make beta access to some or all of the SaaS Usage Services (the “Beta Services”) available to you (i) the Beta Services are provided “as is” and without warranty of any kind, (ii) we may suspend, limit, or terminate the Beta Services for any reason at any time without notice, and (iii) we will not be liable to you for damages of any kind related to your use of the Beta Services. If we inform you of additional terms and conditions that apply to your use of Beta Services, those will apply as well. We might require your participation to be confidential, and we might also require you to provide feedback to us about your use of the Beta Services. You agree that we own all rights to use and incorporate your feedback into our services and products, without payment or attribution to you.
FREE TRIAL. If you sign-up or request a free trial, we will make the applicable SaaS Usage Service available to you on a trial basis free of charge until the earlier of (a) the end of the free trial period (if not terminated earlier) or (b) the start date of your paid SaaS Usage Plan. Unless you purchase a subscription to the SaaS Usage Service Plan before the end of the free trial, all your data in your trial account SaaS Usage Plan may be permanently deleted at the end of the trial, and we will not recover it. If we include additional terms and conditions on the trial registration sign-up page, those will apply as well.
